1. Agreement to Terms
By accessing or using the Bridleway marketplace platform at bridleway.co (“Service”), you agree to be bound by these Terms of Service (“Terms”). If you disagree with any part of the terms, you may not access the Service.
2. Description of Service
Bridleway is an online marketplace that connects horse buyers and sellers. We provide a platform for listing horses for sale, searching for horses, and facilitating transactions between buyers and sellers. Bridleway does not own, breed, or sell horses directly.
3. User Accounts
When you create an account with us, you must provide accurate, complete, and current information. You are responsible for:
- Maintaining the confidentiality of your account and password
- Restricting access to your computer and account
- All activities that occur under your account
- Notifying us immediately of any unauthorized use
We reserve the right to refuse service, terminate accounts, or remove content at our sole discretion.
4. Seller Responsibilities
As a seller on Bridleway, you agree to:
- Provide accurate and truthful information about horses listed for sale
- Disclose all known health issues, behavioral problems, or other material facts
- Have legal ownership or authorization to sell listed horses
- Respond promptly to buyer inquiries
- Honor agreed-upon terms of sale
- Comply with all applicable laws regarding horse sales
- Pay all applicable listing fees and transaction commissions
5. Buyer Responsibilities
As a buyer on Bridleway, you agree to:
- Conduct your own due diligence before purchasing any horse
- Arrange for independent veterinary examinations when appropriate
- Honor agreed-upon terms of purchase
- Make payments through our approved payment methods
- Provide accurate information for transaction processing
6. Listing Fees and Commissions
Bridleway charges fees for certain services:
- Listing Fees: Fees apply to post horse listings, varying by listing tier (Basic, Premium, or Pro)
- Transaction Commission: A commission of 3% of the sale price applies to completed transactions (minimum $199, maximum $2,500)
- Subscription Plans: Optional monthly subscription plans available for sellers and buyers
- Featured Listings: Optional fees for promotional placement
All fees are non-refundable unless otherwise stated. Current pricing is available on our pricing page.
7. Payment Processing
All payments are processed through Stripe, our third-party payment processor. By using our payment services, you agree to Stripe's terms of service. Bridleway is not responsible for any issues arising from Stripe's services. Transaction funds are held and distributed according to our escrow and payout policies.
8. Prohibited Activities
You may not use our Service to:
- Post false, misleading, or fraudulent listings
- Violate any applicable laws or regulations
- Infringe on the rights of others
- Transmit spam, malware, or other harmful content
- Attempt to circumvent our fee structure
- Interfere with the proper functioning of the Service
- Collect user information without consent
- Engage in any form of animal cruelty or neglect
- Include personal contact information in listing descriptions, photos, videos, or any other listing content, including but not limited to phone numbers, email addresses, social media handles, website URLs, or physical addresses. All communication between buyers and sellers must be conducted through Bridleway's built-in messaging system.
- Arrange, negotiate, or complete the sale of any horse discovered through the Service outside of Bridleway's platform, including but not limited to conducting transactions in person, by phone, through third-party websites, or through any other channel that bypasses Bridleway's escrow and payment systems. This obligation applies for 12 months after a buyer and seller first connect through the Service regarding a specific horse.
- Create multiple accounts, impersonate another person, or misrepresent your identity or affiliation
- Manipulate listings through shill bidding, fake inquiries, or artificial engagement
- List horses you do not own or are not legally authorized to sell
- Use automated tools, bots, scrapers, or similar technology to access the Service or extract data without our express written consent
- Solicit Bridleway users for competing marketplace platforms
Violation of any prohibited activity may result in immediate account suspension or termination, removal of listings, forfeiture of any pending payouts, and liability for any commissions or fees that would have been owed to Bridleway.
9. Listing Content Standards
All horse listings must comply with the following content requirements. Bridleway reserves the right to edit, remove, or suspend any listing that violates these standards without prior notice.
Listings must contain only information directly relevant to the horse being offered for sale, including breed, age, height, training level, temperament, health history, location, and asking price. All photographs and videos must depict the actual horse being listed and must be current (taken within 90 days of listing). Sellers may not include watermarks, overlays, or text on images that contain contact information or direct buyers away from the platform.
Sellers must disclose all material facts that a reasonable buyer would consider relevant to their purchase decision, including known health conditions, injuries, vices, behavioral issues, and any history of lameness. Failure to disclose material facts may result in account termination and liability for damages.
Bridleway may use listing content (descriptions, photos, videos) for marketing, promotional, and platform improvement purposes. By creating a listing, you grant Bridleway a non-exclusive, royalty-free license to use, display, and distribute your listing content in connection with the Service.
10. Escrow and Transaction Protection
All transactions for horses listed on Bridleway must be processed through our secure escrow system. When a buyer and seller agree to a transaction, the buyer's payment is held in escrow until both parties confirm the transaction is complete. Bridleway's transaction commission is deducted from the escrow funds before the seller payout is released.
Buyers may request a refund from escrow only during the inspection period as defined by the transaction terms agreed upon by both parties. Once the buyer confirms receipt and acceptance, or the inspection period expires without a dispute, escrow funds (less commission) are released to the seller.
Bridleway is not an arbiter of disputes. In the event of a disagreement between buyer and seller during the escrow period, Bridleway may, at its sole discretion, hold funds pending resolution, but is not obligated to mediate or resolve the dispute.
11. Account Suspension and Termination
Bridleway reserves the right to suspend or terminate your account at any time, with or without notice, for any reason, including but not limited to: violation of these Terms, suspected fraud, failure to pay fees, extended inactivity exceeding 12 months, or at our sole discretion.
Upon termination, your right to use the Service ceases immediately. Any active listings will be removed. Pending escrow transactions will be handled according to our escrow policies. Any outstanding fees or commissions owed to Bridleway remain due and payable.
You may delete your account at any time through your account settings or by contacting us. Account deletion does not release you from any obligations incurred before the deletion, including pending transactions or fees owed.
12. Intellectual Property
The Bridleway name, logo, website design, software, and all related trademarks, service marks, and trade dress are the property of Bridleway and may not be used without our prior written consent. All content on the Service, excluding user-submitted listing content, is owned by or licensed to Bridleway and protected by copyright and other intellectual property laws.
13. Disclaimers
No Warranty: The Service is provided “as is” and “as available” without warranties of any kind, either express or implied.
No Guarantee of Accuracy: We do not verify the accuracy of listings or the identity of users. We make no representations about the health, temperament, training, or suitability of any horse listed.
Independent Transactions: Bridleway is a marketplace platform only. All transactions are between buyers and sellers directly. We are not a party to any purchase agreement and are not responsible for disputes between users.
14. Limitation of Liability
To the maximum extent permitted by law, Bridleway shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses resulting from your use of the Service.
15. Indemnification
You agree to indemnify and hold harmless Bridleway and its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from your use of the Service, your violation of these Terms, or your violation of any rights of another.
16. Dispute Resolution
Any disputes arising from these Terms or your use of the Service shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. You agree to waive your right to a jury trial or to participate in a class action lawsuit.
17. Modifications to Terms
We reserve the right to modify these Terms at any time. We will provide notice of significant changes by posting the updated Terms on this page and updating the “Last updated” date. Your continued use of the Service after such changes constitutes acceptance of the new Terms.
18. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions.
